Amendment 1:

Article 9.06: HANDLING OF CERTIFICATE DEPOSIT INTEREST

 

A. Purpose of Interest: All interest accrued from the organization's Certificate of Deposit shall be designated for the operational expenses of the Executive Committee (EC).

 

B. Transfer of Funds: The Chairperson of the Board of Trustees (BoT) shall ensure that the accrued interest is transferred to the Executive Committee's account for their operational expenses. This transfer shall be completed prior to the close of the calendar year, specifically no later than December 31st of every year.

 

C. Reporting: The transfer of these funds shall be noted and reported in the financial statements of the organization

 

Amendment 2:

Article 8.07 – Duties and Responsibilities of EC Members and EC

 

I. Minimum Performance and Communication Requirements

 

1. All EC members are expected to:

a) Attend EC and Governing Board meetings regularly, unless excused for valid cause.

b) Actively participate in discussions and decision-making processes.

c) Complete assigned action items or responsibilities in a timely and satisfactory manner.

d) Deliver actionable results for events, programs, or tasks assigned by the EC or Governing Board.

e) Take reasonable responsibility for the work of the organization and contribute to its objectives.

f) Acknowledge and respond to official TAGB communications, including messages sent via designated Governing Board or EC communication channels (e.g., WhatsApp groups), within a reasonable timeframe, unless prevented by valid cause.

 

II. Removal and Reinstatement of a Member

 

1. Initiation of Removal:

If the member under consideration is an EC member, the Executive Committee (EC) shall initiate the removal process.

If the member under consideration is a Board of Trustees (BOT) member, the Board of Trustees shall initiate the removal process.

In either case, the matter will be formally presented to the Governing Board for review and disposition.

 

2. Organizational Action and Separation of Duties

 

Following the Governing Board’s determination, appropriate organizational action may include the separation of duties or the removal of the member from their current role.

 

3. Re-instatement / Replacement

 

After an organizational action resulting in the separation of duties or removal, the vacated position shall be filled by a nominated individual from one of the existing committees of that term, as nominated and approved by the Governing Board, in accordance with TAGB bylaws and any applicable nomination procedures.
